Welcome to SideScribe ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our AI-powered dental documentation services and website. By accessing or using SideScribe, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Description of Services

SideScribe provides AI-powered medical scribing services specifically designed for dental professionals. Our services include:

• Real-time audio transcription and clinical documentation generation
• CDT code recognition and periodontal charting assistance
• Seamless integration with Dentrix and Open Dental systems
• HIPAA-compliant data processing with zero data retention

As a healthcare technology provider, SideScribe is committed to HIPAA compliance. All users must:

• Execute a Business Associate Agreement (BAA) with SideScribe prior to service activation
• Ensure their practice maintains appropriate HIPAA compliance certifications
• Use SideScribe only for authorized healthcare documentation purposes
• Report any suspected security incidents immediately

User Eligibility and Registration

To use SideScribe, you must:

• Be a licensed dental professional or authorized practice staff
• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the confidentiality of your account credentials
• Use only your own account and not share access with others

User Obligations and Conduct

When using SideScribe, you agree to:

• Use the service only for lawful healthcare documentation purposes
• Review and verify all AI-generated documentation before use
• Maintain patient confidentiality and HIPAA compliance
• Report any technical issues or inaccuracies promptly
• Not attempt to reverse engineer or copy our technology
• Not use the service for any fraudulent or illegal activities

Intellectual Property

SideScribe's technology, algorithms, and proprietary processes are protected by intellectual property laws.

• All AI-generated documentation becomes your intellectual property upon finalization
• You retain ownership of your patient data and clinical notes
• SideScribe retains all rights to our software, algorithms, and trademarks
• You may not copy, modify, or distribute our technology

Data Processing and Privacy

Your use of SideScribe is also governed by our Privacy Policy, which outlines our zero data retention approach:

• Audio data is processed temporarily and never stored permanently
• All processing occurs on HIPAA-compliant, encrypted infrastructure
• We use OpenAI's Zero Data Retention tier for AI processing
• Your data is never used for model training or sold to third parties

Service Availability and Support

We strive to provide reliable service but cannot guarantee uninterrupted availability:

• Service may be temporarily unavailable for maintenance or technical issues
• We provide email support during business hours
• Emergency technical support is available for critical issues
• We monitor service performance and provide regular updates

To the maximum extent permitted by law:

• SideScribe is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount paid for services in the preceding 12 months
• You assume all risks associated with clinical documentation accuracy

Indemnification

You agree to indemnify and hold harmless SideScribe, our officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your violation of these Terms
• Your use of the service in violation of HIPAA or other laws
• Any third-party claims related to your clinical documentation
• Your negligence in reviewing AI-generated content

Termination

Either party may terminate this agreement at any time:

• You may cancel your account at any time through your dashboard
• We may terminate or suspend your account for violation of these Terms
• Upon termination, your access to services will cease immediately
• Finalized clinical notes remain your property
• Any outstanding payments become due immediately

Billing and Payment

Subscription fees and billing terms:

• Fees are billed in advance according to your selected plan
• Payment is due on the billing date specified
• Late payments may result in service suspension
• All fees are non-refundable except as required by law
• Price changes will be communicated 30 days in advance

Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

• Any disputes will be resolved through binding arbitration
• Arbitration will be conducted in Delaware
• Class action waivers apply to all disputes
• You waive any right to jury trial

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be:

• Posted on this page with an updated "Last Updated" date
• Notified to you via email or in-app notification
• Effective 30 days after posting for non-material changes
• Effective immediately for security or legal compliance updates

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any signed Business Associate Agreement, constitute the entire agreement between you and SideScribe.
